This Client Service Agreement (“Agreement”) is entered into by and between Arizona Business Shield (“Company,” “we,” “us,” or “our”) and the undersigned client (“Client,” “you,” or “your”). 1. Scope of Services Arizona Business Shield provides administrative support, filing assistance, compliance support, document preparation support, guidance on business filing processes, and related business support services as agreed in writing, by invoice, service page, booking page, proposal, email, or intake form. Services may include, but are not limited to: Arizona LLC or corporation formation support Filing updates, corrections, amendments, and report support Compliance reminder services Fraud-watch or business monitoring support General business administrative support related to filings and records Any service not specifically included is outside the scope of this Agreement unless added in writing. 2. No Legal or Tax Advice Arizona Business Shield is not a law firm and does not provide legal, tax, or financial advice. Our services are administrative and informational in nature. Nothing we provide should be interpreted as legal advice, legal representation, tax advice, or financial advice. You are responsible for consulting a licensed attorney, CPA, or other qualified professional when legal, tax, or financial advice is needed. 3. Client Responsibilities You agree to provide accurate, complete, and timely information, documents, approvals, and responses needed for us to perform the services. We are not responsible for delays, rejections, errors, missed deadlines, or extra fees caused by incomplete, inaccurate, outdated, or delayed information provided by you. 4. Fees and Payment You agree to pay all service fees, filing fees, government fees, rush fees, subscription fees, and other charges disclosed before work begins. Unless otherwise stated: Payment is due in full before work starts Government or third-party fees are separate from our service fees Ongoing services may be billed on a recurring basis until canceled Unpaid balances may delay or stop work 5. Turnaround and Timing Any turnaround times provided are estimates only and are not guaranteed. Timing may depend on your responsiveness, state processing times, third-party systems, and document accuracy. 6. Cancellation, Rescheduling, and Refunds You may cancel before work begins by written notice. If work has not started, any paid service fee may be refunded minus any nonrefundable processing or booking fee, if applicable. If work has already started: service fees already earned are nonrefundable completed or partially completed work is billable government, filing, third-party, and subscription fees are nonrefundable once incurred Consultation or booking fees, if charged, are nonrefundable unless otherwise stated. For appointments: rescheduling requires reasonable notice missed appointments or last-minute cancellations may be forfeited or subject to a rescheduling fee 7. No Guarantee of Outcome We do not guarantee any filing approval, government response, legal result, tax result, business outcome, or fraud-prevention outcome. We assist with process and administration, but final decisions and outcomes are controlled by government agencies, third parties, and your own compliance actions. 8. Limitation of Liability To the fullest extent permitted by law, Arizona Business Shield will not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim related to services under this Agreement will not exceed the amount you paid us for the specific service giving rise to the claim. 9. Authorization You authorize Arizona Business Shield to rely on the information and documents you provide and to perform the agreed administrative services on your behalf as applicable. 10. Acceptance By signing, checking the acknowledgment box, submitting a form, paying an invoice, or booking services, you confirm that: you have read and understand this Agreement you agree to the scope, fees, and cancellation terms you understand that Arizona Business Shield does not provide legal or tax advice
